1. Acceptance of Terms

These Terms of Engagement (“Terms”) constitute a legally binding agreement between you (whether an individual or legal entity, “Client”) and Resource Canvas Core Ltd. (“Resource Canvas Core,” “we,” “us,” or “our”), a company registered in Chiang Mai, Thailand, regarding access to and use of resourcecanvascore.digital and all commissioned diagnostic engineering services, telemetry audits, forensic investigations, and triage retainers.

By accessing this website, submitting an incident brief, or entering into a statement of work with Resource Canvas Core, you agree to be bound by these Terms in full.

2. Scope of Diagnostic Services

Resource Canvas Core provides professional diagnostic engineering, binary decompilation analysis, memory dump forensics, telemetry pipeline audits, and production triage consulting.

  • Statements of Work (SOW): Specific service scopes, timelines, milestone deliverables, reproduction environments, and fee structures are formalized in written Statements of Work. In the event of any conflict between these Terms and a signed SOW, the specific terms of the SOW shall prevail.
  • Client Cooperation & Telemetry Provision: The Client agrees to provide accurate, sanitized crash logs, minidumps, symbol files, and environment telemetry necessary for diagnostic evaluation. Delays in telemetry provision may extend estimated diagnostic timelines.

3. Intellectual Property Rights

  • Client Intellectual Property: The Client retains sole and exclusive ownership of all proprietary software, application source code, proprietary algorithms, and internal telemetry provided to Resource Canvas Core.
  • Diagnostic Deliverables: Upon full settlement of invoiced fees, the Client receives a perpetual, irrevocable, worldwide license to use, modify, and integrate all diagnostic dossiers, reproduction sandbox scripts, and code patch recommendations delivered by Resource Canvas Core.
  • Pre-Existing Diagnostic Tools: Resource Canvas Core retains all rights, title, and interest in its proprietary diagnostic harnesses, generic benchmark scripts, internal profiling utilities, and general engineering methodologies developed independently of the engagement.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all exchanged proprietary data, architectural diagrams, memory core dumps, and commercial terms as strictly confidential. Confidential information shall not be disclosed to any third party without prior written consent, except where required by applicable Thai law or court order.

5. Limitation of Liability

Diagnostic engineering involves complex systems analysis under non-deterministic production conditions.

  • To the maximum extent permitted by applicable law in Thailand, Resource Canvas Core shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or business interruption.
  • The total aggregate liability of Resource Canvas Core arising out of or related to any engagement shall not exceed the total fees actually paid by the Client to Resource Canvas Core under the specific Statement of Work giving rise to liability.

6. Governing Law & Dispute Resolution

These Terms and all agreements between the parties shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict of law principles. Any legal action, suit, or proceeding arising out of these Terms shall be instituted exclusively in the competent courts of Chiang Mai, Thailand.
